Filing Requirements for Sole Proprietorship

In Doing Business as a Sole Proprietorship, we discussed a cost efficient alternative to a LLC formation. This post will focus on the filling requirement of a Sole Proprietorship.


Sole Proprietorships are formed by filing of a fictitious name with the county in which you reside or in which will the business will be conducted. This step has two parts to it: 1) filling and filing the papers with the county clerk or county recorder's office (check with your county for specific requirements); and 2) upon filing, running a notice for 4 weeks in the newspaper and/or magazine of general circulation. If both steps are followed and hopefully no one (after reading the notice in the newspaper) objects; you can continue to operate your business as a Sole Proprietor under the fictitious name.
